These Terms of Service ("Terms") govern your access to and use of PlanFlag (the
"Service"), operated by Computer Services International, LLC, a Missouri limited
liability company and parent of the Highpass Studio brand ("PlanFlag," "we,"
"us"). By creating an account or using the Service, you agree to these Terms.

that you are authorized to enter this agreement, on your own behalf or for the
organization you represent, and that you are at least 18 years old. Acceptance is
per individual user: each user accepts these Terms for themselves, even where
multiple users belong to the same organization. If you do not agree, do not use
the Service.
PlanFlag is an AI-assisted quality-assurance and quality-control aid for
construction plan-set review. It surfaces candidate findings, checklist items,
and table or schedule discrepancies for a licensed professional to evaluate. It
is a software tool. It is not an engineering firm and not a licensed
professional.
PlanFlag assists a qualified reviewer; it does not perform engineering, does not
constitute a professional engineering review, and does not seal, stamp, certify,
or approve any document. Its output is informational only and must be
independently verified by a licensed professional exercising their own judgment.

PlanFlag may miss real issues and may surface items that are not issues. It does
not and cannot guarantee that it identifies every defect, omission, code
violation, or coordination problem in a plan set, or that any finding is correct.
A clean or short PlanFlag result is not evidence that a plan set is complete or
compliant. You must not rely on PlanFlag as a complete or authoritative review.
Where provided, PlanFlag's coverage disclosures describe only what was assessed,
not a guarantee of what was found.
Plan sets, drawings, and files you upload ("Customer Documents") remain the
property of you and your clients. You grant us only the limited, non-exclusive
license necessary to host, process, and deliver the review you request, and to
maintain it for your access. We will not use the content of Customer Documents to
train machine-learning models. We retain Customer Documents for three months, and
we delete them upon closure of your account. You represent that you have the right
to upload them.
"Feedback" means any grade, rating, correction, label, severity adjustment,
confirmation, rejection, or comment you or your users submit about findings or
outputs generated by the Service. Feedback does not include, and this license
does not extend to, the content of your Customer Documents (the drawings and plan
sets themselves), which are governed by Section 5.
You grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free,
sublicensable, and transferable license to use, store, reproduce, modify,
aggregate, and create derivative works from Feedback for any purpose related to
operating, evaluating, and improving the Service and developing related products,
including training, validating, and tuning machine-learning models and rule sets.
Models, calibration datasets, check definitions, and other artifacts derived from
Feedback are owned solely by us. Feedback used for model improvement is decoupled
from your identity and from Customer Document content to the extent that does not
defeat its evaluative value.
You will not: (a) reverse engineer, scrape, or attempt to extract the Service's
models, checklists, or calibration data; (b) resell or sublicense the Service, or
present its output as independent engineering; (c) use it to circumvent
professional licensing obligations; (d) upload unlawful content or content you
lack the rights to; or (e) probe, overload, or disrupt the Service.
You are responsible for your credentials and API keys and for activity under your
account. Notify us of any unauthorized use. Accounts are per user; credentials may
not be shared across users without our explicit prior consent.
Paid plans are billed in advance on a recurring subscription basis. We may refuse
or limit service for any reason, including abuse or excessive use. Tier
definitions and any usage limits are as described at purchase.
We own the Service, including its software, checklists, corpus, models,
calibration datasets, and all derived artifacts. No rights are granted to you
except the limited right to use the Service under these Terms.
Each party will protect the other's non-public information. We will apply
commercially reasonable measures to protect Customer Documents.
Your use of the Service is subject to the PlanFlag Privacy Policy, which is
incorporated into these Terms by reference.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY
KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.
To the maximum extent permitted by law, we are not liable for indirect,
incidental, consequential, special, or punitive damages, or for any
professional-liability, design-error, construction, or property damages arising
from use of or reliance on the Service. Our total aggregate liability is capped at
the fees you paid in the twelve months preceding the claim.
You will indemnify us against claims arising from your use of the Service, your
Customer Documents, or your violation of these Terms or applicable law.
Either party may terminate in accordance with the plan terms. On termination,
your right to use the Service ends; provisions that by their nature should
survive, including intellectual property, the Feedback license, disclaimers, and
limitation of liability, survive.
We may update these Terms; the current version is identified by the version string
above, and continued use after an update constitutes acceptance. We will notify
you of material changes.
These Terms are governed by the laws of the State of Missouri, without regard to
its conflict-of-laws rules. The contracting party is Computer Services
International, LLC.
These Terms are the entire agreement between you and us regarding the Service. If
any provision is held unenforceable, the remaining provisions remain in effect. No
waiver of any term is a waiver of any other term. We may assign these Terms; you
may not assign them without our consent.
